This Terms of Sale Agreement (“Agreement") is made between Eflyn Electronics Ltd., doing business as Prism Digital Signage (“Seller"), a CORPORATION organized under the laws of California, with offices at 8570 Stanton Ave, Buena Park, CA 90620, and the Buyer.

Seller and Buyer are hereinafter collectively referred to as the “Parties." The terms Physical/Tangible products shall collectively be known as “Goods" and Software Products and Services as “Services."

Buyer will be deemed to have accepted this Agreement if any Goods or Services are sold, supplied, or delivered by the Seller to the Buyer or if an invoice is delivered by the Seller to the Buyer for such Goods or Services.

1. ENTIRE AGREEMENT

This Agreement, along with its Terms of Sale, forms the complete agreement between Eflyn Electronics Ltd. (doing business as Prism Digital Signage) and the Buyer. All prior agreements that differ from or add to this Agreement are not applicable unless specified in writing by Seller.

2. PAYMENT

Buyer authorizes Seller to invoice in accordance with the terms specified. In the event of non-payment, Buyer agrees to bear all associated costs, including legal fees.

3. SHIPMENT

Orders are shipped F.O.B. point of shipment unless noted otherwise. Risk of loss transfers to Buyer upon delivery to Buyer, Buyer’s representative, or a carrier.

4. DELIVERY

Delivery to the location specified by Buyer constitutes delivery to Buyer. Seller is not responsible for delays or damage due to causes beyond its control, such as acts of God or supplier delays.

5. TERMINATION AND REFUNDS

All sales are final. Returns require prior written authorization, and a 20% restocking fee applies. No refunds are available on custom hardware, software setup, delivery, or installation services.

6. EXCLUSION OF WARRANTY AND LIMITATION OF LIABILITY

Buyer waives any right to legal action for damages caused by Goods sold. Warranty is void in cases of misuse, modification, or improper storage. Seller disclaims all implied warranties, and Seller’s liability will not exceed the purchase price of the Goods sold.

7. GOVERNING LAW: DISPUTE RESOLUTION

This Agreement will be governed by the laws of California, with any disputes settled in Buena Park, CA. The prevailing party is entitled to costs and legal fees.
