Effective Date: January 1, 2022

This End-User License Agreement (EULA) pertains to software services provided by Eflyn Electronics Ltd., doing business as Prism Digital Signage (referred to as the “Service").

1. GENERAL SERVICE TERMS

1.1 The Service. Prism Digital Signage provides cloud-based software, including various modules such as self-checkout, wayfinding, ad campaign management, and ticketing.

1.2 Modification or Discontinuation. Seller may modify or discontinue any feature without notice, provided that material changes are communicated via email or the Service.

1.3 No Contingency on Future Releases. Buyer acknowledges that the purchase is not contingent on future releases or improvements to the Service.

2. ACCOUNT REGISTRATION AND ADMINISTRATION

Buyers are responsible for the accuracy of registration details and maintaining account security. Any unauthorized access should be reported to Seller immediately.

3. BUYER’S DATA

Buyers retain ownership of their data submitted to the Service. However, Seller reserves the right to access and use Buyer data to maintain and provide the Service, prevent security issues, or comply with legal requests.

4. PUBLIC USER SUBMISSIONS

If Buyers submit public comments or information, they grant Prism Digital Signage a license to use and promote such content.

5. INTELLECTUAL PROPERTY

The Service and its components, including software and design, are owned by Eflyn Electronics Ltd., doing business as Prism Digital Signage. Buyers are granted a limited license to use the Service according to the agreed terms.

6. PRIVACY AND SECURITY

Seller implements reasonable security measures to protect Buyer data. For more details, refer to the Privacy Policy.

7. THIRD-PARTY SERVICES

Buyers may engage third-party services, but the relationship with these services is governed by separate agreements.

8. SUBSCRIPTION TERM, RENEWAL, AND FEES

Service is provided on a subscription basis, and Buyers agree to pay the applicable fees. Subscriptions auto-renew unless canceled.

9. REFUND POLICY

Buyers may request a refund within 14 days of the initial purchase. After that, fees are non-refundable.

10. TERMINATION

Either party may terminate the Service for cause with written notice. Upon termination, Buyers must export their data before the account is closed.

11. LIMITATION OF LIABILITY

In no event will either party be liable for indirect, incidental, or consequential damages. Seller’s liability is limited to the amount paid by Buyer in the preceding 12 months.

12. MODIFICATIONS

Seller may update these terms as necessary. Buyers will be notified of material changes.

13. GOVERNING LAW

The EULA is governed by California law, with disputes settled in Buena Park, CA. Buyers waive class action rights.
